I am a graduate of the University of Washington from which
I received a Bachelor of Arts degree in Political Science
in 1962 and a Juris Doctor degree in 1965. Since 1965, I have
been engaged continuously in the practice of law from offices
in Tacoma, Washington. I am a member of the Washington State,
American and International Bar Associations.
My practice is devoted to the transactional representation
of business enterprises and their owners. My experience is
concentrated in the areas of private company finance, mergers,
acquisitions and divestitures. Significant transactions in
which my representation is a matter of record include the
acquisition, disposition or equity financing of broadcast
media companies, cable television franchises, commercial printing
companies, daily and weekly newspapers, industrial equipment
manufacturers, residential real estate and golf course developers
and transportation companies.
I am convinced that the first goal of a transaction lawyer
should be to resolve legal issues on terms that support the
client's financial plan. I believe the primary requisite for
achievement of that goal is an understanding of the dynamics
of capital formation, of the practical realities of the acquisition
process and of the importance of clearly articulated transaction
objectives.
I have written a series of Essays on subjects that arise frequently
in my practice. Please click "Publications" to view
or download them.
